Terms of service

OVERVIEW

This website is operated under the Goizean brand by Hubei Dakang E-Commerce Co., Ltd. Throughout this website, the terms “Goizean,” “we,” “us,” and “our” refer to Hubei Dakang E-Commerce Co., Ltd. and the Goizean brand.

We provide this website, including all information, content, features, tools, products and services made available through it, subject to your acceptance of these Terms of Service (“Terms”) and any other policies referenced or linked on this website.

By visiting our website, creating an account, placing an order, purchasing a product, or otherwise using our website or services (collectively, the “Service”), you agree to be bound by these Terms.

These Terms apply to all users of the website, including browsers, customers, merchants, vendors and contributors of content.

Please read these Terms carefully before accessing or using the Service. If you do not agree with these Terms, you should not use the website or purchase products through it.

Any new features, products, services or tools added to the website will also be subject to these Terms unless expressly stated otherwise.

We may update these Terms from time to time by publishing a revised version on this page. Where required by applicable law, we will provide additional notice of material changes.

Our online store is hosted by Shopify Inc., which provides the e-commerce platform that enables us to offer and sell our products and services.

Nothing in these Terms is intended to exclude, restrict or limit any consumer right or remedy that cannot lawfully be excluded, restricted or limited under applicable law.

SECTION 1 - ONLINE STORE TERMS

By using this website, you represent that you are at least the age of majority in your state, province, territory or country of residence, or that you have the legal capacity required to enter into a binding contract.

If you permit a minor dependent to use this website, you are responsible for their use of the Service to the extent permitted by applicable law.

You may not use our products, website or Service for any unlawful or unauthorized purpose.

You must comply with all applicable laws and regulations when using the Service, including intellectual property, consumer protection, privacy, data protection and electronic commerce laws.

You must not transmit viruses, worms, malware, malicious code or other material intended to damage, disrupt or interfere with the website, Service, Shopify infrastructure or other users.

A material breach of these Terms may result in suspension or termination of your access to the Service, subject to applicable law.

SECTION 2 - GENERAL CONDITIONS

We reserve the right to refuse or restrict access to the Service where reasonably necessary, including where we reasonably suspect fraud, abuse, unlawful activity, security threats or violations of these Terms.

Nothing in this Section limits any rights you may have under applicable consumer protection law.

Information you submit through the website may be transmitted across different networks and may undergo technical changes necessary to conform to network or device requirements.

Payment information is processed using appropriate security measures and encryption as provided by our payment processors and e-commerce service providers.

You may not reproduce, duplicate, copy, sell, resell, commercially exploit or improperly access any portion of the Service without our prior written permission, except where permitted by law.

The headings contained in these Terms are provided for convenience only and do not affect their interpretation.

SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We make reasonable efforts to ensure that information provided on this website is accurate and current.

However, general website content may occasionally contain errors, outdated information or omissions.

Information on the website is provided for general informational purposes and should not, where appropriate, replace professional or authoritative information relevant to a particular decision.

Historical information may be provided for reference and may no longer reflect current circumstances.

We reserve the right to update or modify website content at any time.

Nothing in this Section limits our responsibility to provide consumers with accurate information where required by applicable law, including information relating to products, prices, material characteristics, delivery, returns or statutory rights.

SECTION 4 - MODIFICATIONS TO THE SERVICE AND PRICES

Product prices may change from time to time.

Any price change will not affect an order that we have already accepted, except where permitted by applicable law or where an obvious pricing error has occurred.

We may modify, suspend, restrict or discontinue all or part of the Service where reasonably necessary.

We will not be liable for modifications or discontinuation of the Service except to the extent that liability cannot lawfully be excluded or where we have an existing contractual obligation to you.

Nothing in this Section affects any statutory rights relating to an order you have already placed.

SECTION 5 - PRODUCTS OR SERVICES

Certain products or services may be available exclusively through our online store.

Products may be subject to availability, inventory limitations and geographic restrictions.

Returns, refunds and exchanges are governed by our Return & Refund Policy together with any mandatory rights available under applicable consumer law.

We make reasonable efforts to display product colors, images, dimensions, specifications and other characteristics accurately.

However, the appearance of colors may vary depending on your screen, device settings, lighting or display technology.

Minor variations that do not materially affect the nature, quality or functionality of a product may occur where reasonably expected.

We reserve the right to limit quantities, refuse unusually large or suspicious orders, restrict sales to particular regions where necessary, or discontinue products.

Product descriptions and prices may be changed before an order is accepted.

Any offer for a product or service is void where prohibited by law.

Products supplied to consumers will remain subject to any mandatory guarantees, warranties, conformity requirements or other protections provided by applicable consumer law.

Nothing in these Terms excludes your rights where goods are faulty, defective, unsafe, not as described, not of satisfactory quality, not fit for a legally required purpose, or otherwise fail to meet mandatory consumer standards.

SECTION 6 - BILLING, ACCOUNT AND ORDER INFORMATION

You agree to provide current, complete and accurate billing, shipping and account information when placing an order.

You are responsible for ensuring that the email address and other contact information provided with your order are accurate so that we can provide order confirmations, shipping updates and other important information.

We reserve the right to refuse, limit or cancel an order where we reasonably believe that:

  • the order involves fraud or unauthorized payment activity;

  • incorrect information has been provided;

  • there has been an obvious pricing or product information error;

  • inventory is unavailable;

  • the order is intended for unauthorized commercial resale;

  • fulfillment would violate applicable law; or

  • another legitimate reason makes fulfillment impossible or unreasonable.

If we cancel an order after payment has been collected and you are entitled to a refund, we will refund the relevant amount using the original payment method or another method permitted by applicable law.

We may contact you using the email address, phone number, billing address or shipping information provided with your order.

For information regarding returns and refunds, please review our Return & Refund Policy.

Nothing in our Return & Refund Policy limits mandatory rights available to you under applicable consumer protection laws.

SECTION 7 - OPTIONAL AND THIRD-PARTY TOOLS

We may provide access to tools, integrations or services operated by third parties.

We do not necessarily control or operate those third-party services.

Third-party tools may be subject to separate terms, privacy policies and conditions established by their respective providers.

To the fullest extent permitted by applicable law, use of optional third-party tools is at your discretion and risk.

However, nothing in this Section excludes or limits any responsibility that cannot legally be excluded or any consumer rights that apply to services for which we remain legally responsible.

We may introduce new website features, services, applications or resources from time to time. Unless otherwise stated, such features will be subject to these Terms.

SECTION 8 - THIRD-PARTY LINKS

The Service may contain links to third-party websites, applications, services or content.

A link does not necessarily mean that we endorse, control or are affiliated with the third party.

We are not responsible for the content, privacy practices, availability or accuracy of independent third-party websites that are outside our control.

Before entering into a transaction with a third party, you should review that party's applicable terms and policies.

Complaints relating solely to a third party's independent products or services should generally be addressed to that third party.

Nothing in this Section limits any responsibility that we may have under applicable law for third-party services that we expressly sell, arrange or provide as part of our contractual obligations to you.

SECTION 9 - USER COMMENTS, REVIEWS, FEEDBACK AND SUBMISSIONS

If you submit reviews, comments, suggestions, ideas, photographs, feedback or other content to us, you represent that you have the right to provide that content.

To the extent permitted by law, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, translate and display content voluntarily submitted to us for purposes connected with operating, improving and promoting our business and Service.

This license does not transfer ownership of your content to us.

You must not submit content that:

  • infringes intellectual property or other rights of another person;

  • is unlawful, defamatory, threatening or abusive;

  • contains malicious software;

  • contains deceptive or fraudulent information;

  • unlawfully discloses another person's personal information; or

  • otherwise violates applicable law.

We may moderate or remove user-submitted content where reasonably necessary.

You must not impersonate another person, use a misleading identity or knowingly provide false information regarding the origin of your submission.

You remain responsible for content that you submit.

Any handling of personal information contained in submissions will be subject to our Privacy Policy and applicable privacy laws.

SECTION 10 - PERSONAL INFORMATION

Our collection, use, storage, disclosure and other processing of personal information is governed by our Privacy Policy and applicable privacy and data protection laws.

Please review our Privacy Policy for further information about how we handle personal information and the rights that may be available to you.

SECTION 11 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally, information on our website may contain typographical errors, inaccuracies or omissions relating to product descriptions, availability, prices, promotions, shipping charges, delivery estimates or other matters.

Where permitted by applicable law, we may correct genuine errors or inaccuracies and update relevant information.

If an error materially affects an order you have already placed, we will handle the matter in accordance with applicable law and any mandatory consumer rights.

We will not use this Section to avoid an obligation arising from a price, representation or product description that is legally binding upon us.

Nothing in this Section limits any right you may have if a product is materially different from its description or if legally required information was misleading or inaccurate.

SECTION 12 - PROHIBITED USES

You may not use the website or Service:

(a) for any unlawful purpose;

(b) to encourage, solicit or participate in unlawful conduct;

(c) to violate applicable international, national, federal, state, provincial, territorial or local laws;

(d) to infringe our intellectual property rights or those of another person;

(e) to harass, abuse, threaten, defame or unlawfully discriminate against another person;

(f) to submit information that you know is false, fraudulent or materially misleading;

(g) to upload or transmit viruses, malicious code or other technology intended to damage or interfere with the Service;

(h) to unlawfully collect, track or process personal information about others;

(i) to spam, phish, scrape, crawl or otherwise misuse the website;

(j) for unlawful obscene or abusive purposes;

(k) to interfere with or circumvent security, authentication or access-control mechanisms;

(l) to conduct fraudulent payment activity, chargeback abuse or unauthorized transactions; or

(m) to use automated systems in a manner that materially disrupts the Service.

We may suspend or terminate access where we reasonably believe a prohibited use has occurred, subject to applicable law.

SECTION 13 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, we do not guarantee that access to the website or Service will always be uninterrupted, timely, secure or error-free.

We do not guarantee that all non-contractual information available through the Service will always be complete, current or free from technical errors.

From time to time, we may suspend, restrict, withdraw or modify parts of the Service where reasonably necessary.

To the fullest extent permitted by applicable law, the website and general Service may be provided on an “as is” and “as available” basis except where we expressly state otherwise or where applicable law requires otherwise.

Any “as is” or similar disclaimer in these Terms applies only to the extent permitted by law.

Nothing in these Terms excludes, restricts or limits any warranty, condition, consumer guarantee, statutory right, remedy or protection that cannot lawfully be excluded, restricted or limited under applicable consumer protection laws.

Nothing in these Terms excludes or limits liability for:

  • fraud or fraudulent misrepresentation;

  • death or personal injury caused by negligence where such liability cannot legally be excluded;

  • willful or deliberate misconduct where liability cannot lawfully be excluded;

  • breach of mandatory consumer protection rights;

  • breach of mandatory statutory warranties or consumer guarantees; or

  • any other liability that cannot lawfully be excluded or limited.

To the fullest extent permitted by applicable law, Goizean, Hubei Dakang E-Commerce Co., Ltd., and our directors, officers, employees, affiliates, agents, contractors, suppliers, service providers and licensors will not be liable for indirect, incidental, special, punitive or consequential losses arising from use of the Service where such losses may lawfully be excluded.

This may include loss of profit, revenue, business opportunity, goodwill, savings or data, except where such liability cannot legally be excluded or limited.

Where applicable law does not allow certain exclusions or limitations of warranties or liability, those exclusions or limitations will apply only to the maximum extent permitted by that law.

For consumers, nothing in this Section affects statutory rights or remedies available under the mandatory laws applicable in the consumer's place of residence.

SECTION 14 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Goizean, Hubei Dakang E-Commerce Co., Ltd., our affiliates, officers, directors, employees, contractors, service providers and suppliers from third-party claims arising directly from:

  • your unlawful use of the Service;

  • your material breach of these Terms;

  • content you submit that infringes the lawful rights of another person; or

  • your violation of applicable law.

This Section does not require a consumer to indemnify us for losses caused by our own breach, negligence, unlawful conduct or matters for which liability cannot legally be transferred to the consumer.

SECTION 15 - SEVERABILITY

If any provision of these Terms is determined by a court or competent authority to be unlawful, invalid or unenforceable, that provision will be enforced to the greatest extent permitted by law or, where necessary, treated as severed.

The remaining provisions will continue in effect.

Where applicable consumer law requires a different interpretation, these Terms will be interpreted in a manner consistent with that mandatory law.

SECTION 16 - TERMINATION

These Terms remain effective while you use the Service.

You may stop using the Service at any time.

We may suspend or terminate your access to all or part of the Service where reasonably necessary because of fraud, unlawful activity, security concerns, material breach of these Terms or another legitimate reason.

Termination does not affect rights or obligations that arose before termination.

Provisions which by their nature are intended to survive termination will continue to apply.

Termination of access to the website does not affect statutory rights relating to products or services previously purchased.

SECTION 17 - ENTIRE AGREEMENT

These Terms, together with policies and notices expressly incorporated by reference, constitute the agreement between you and us concerning your use of the Service.

They supersede prior versions of these Terms relating to the same subject matter, except where applicable law provides otherwise.

A failure by us to exercise or enforce a contractual right does not automatically constitute a waiver of that right.

Nothing in this entire-agreement provision excludes liability for fraud or prevents a consumer from relying on rights, representations or information that cannot legally be excluded under applicable consumer law.

Where there is a conflict between these Terms and mandatory consumer protection law, the mandatory consumer protection law will prevail.

SECTION 18 - GOVERNING LAW

Except where mandatory consumer protection law provides otherwise, these Terms and any separate agreement through which we provide the Service will be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict-of-law principles.

If you are a consumer, this choice of law does not deprive you of protections provided by mandatory consumer laws that apply in the country, state, province or territory where you habitually reside.

Nothing in this Section requires a consumer to waive access to a court, tribunal, regulator, dispute-resolution mechanism or other remedy that cannot lawfully be waived under applicable law.

Where applicable law grants consumers the right to bring proceedings in their place of residence or another mandatory jurisdiction, those rights remain unaffected.

SECTION 19 - CHANGES TO TERMS OF SERVICE

The current version of these Terms may be reviewed on this page at any time.

We may update or replace portions of these Terms from time to time.

Changes will become effective when published or on another date stated in the updated Terms, subject to applicable law.

Where applicable law requires advance notice or express consent to a material change affecting an existing contractual relationship, we will comply with those requirements.

Changes to these Terms will not retroactively remove consumer rights that have already arisen or rights that cannot legally be waived.

SECTION 20 - CONSUMER RIGHTS

Nothing in these Terms excludes, restricts or limits any right, remedy, guarantee, warranty or protection that cannot lawfully be excluded, restricted or limited under applicable consumer protection laws.

If you purchase products from us as a consumer, you may have mandatory legal rights under the laws of the country, state, province or territory in which you reside.

Those statutory rights apply in addition to any voluntary return, refund, exchange, warranty or satisfaction policy offered by Goizean.

If these Terms or our Return & Refund Policy conflict with a mandatory consumer protection requirement, the mandatory consumer protection requirement will prevail.

EU AND EEA CONSUMERS

If you are a consumer located in the European Union or European Economic Area and you purchase eligible products through our website, applicable consumer law may provide you with a statutory right to withdraw from a distance contract without giving a reason.

For eligible goods, the statutory withdrawal period is generally 14 days from the date on which you, or a third party designated by you other than the carrier, receive physical possession of the goods.

If multiple eligible goods forming part of a single order are delivered separately, the applicable withdrawal period may begin when the final relevant item is received, as required by applicable law.

You may exercise an applicable statutory withdrawal right by informing us clearly of your decision to withdraw before the applicable withdrawal period expires.

You may contact us at:

support@goizean.com

After informing us that you are exercising a statutory withdrawal right, you must return the applicable goods within the period required by law.

Unless we agree otherwise or applicable law provides otherwise, you may be responsible for the direct cost of returning goods where you were informed before purchase that such return costs would be your responsibility.

Where required by law, we will reimburse eligible payments received from you, including the cost of the least expensive standard delivery method offered by us.

Additional costs resulting from your choice of a more expensive delivery option may not be refundable where permitted by law.

We may withhold reimbursement until we receive the returned goods or until you provide evidence that the goods have been returned, whichever occurs first, where permitted by applicable law.

You are responsible only for any reduction in value resulting from handling the goods beyond what is reasonably necessary to establish their nature, characteristics and functioning, where applicable law permits such a deduction.

The statutory right of withdrawal may not apply to certain products or contracts for which applicable law provides an exception.

Depending on applicable law, exceptions may include:

  • goods made to your specifications or clearly personalized;

  • goods that are liable to deteriorate or expire rapidly;

  • sealed goods that are not suitable for return for health protection or hygiene reasons after being unsealed;

  • goods that become inseparably mixed with other items after delivery;

  • certain digital content after performance has begun with the consumer's required consent; and

  • other categories expressly excluded by applicable law.

Nothing in this Section limits rights relating to faulty, defective, unsafe or non-conforming products.

UNITED KINGDOM CONSUMERS

If you are a consumer located in the United Kingdom and purchase eligible goods through our website, applicable distance-selling laws generally provide a 14-day cancellation period.

For eligible goods, you generally have 14 days after receiving the goods to inform us that you wish to cancel the relevant purchase without giving a reason.

After informing us of your cancellation, applicable law generally provides a further 14 days to return the goods.

You may notify us by making a clear statement of your decision to cancel, including by emailing:

support@goizean.com

Where the statutory cancellation right applies, eligible refunds will be processed within the period required by applicable law.

Where permitted by law, we may wait until the goods have been returned or until you provide satisfactory evidence that they have been sent back.

Where required by law, eligible refunds will include the cost of our standard delivery option. Additional amounts paid for premium or expedited delivery may not be refundable beyond the cost of standard delivery.

You may be responsible for the direct cost of returning goods where permitted by law and where you were appropriately informed of that responsibility.

Certain products and contracts may be exempt from statutory cancellation rights, including categories excluded under applicable UK consumer law.

These cancellation rights are separate from your legal rights where goods are faulty, not as described, not fit for purpose or otherwise fail to comply with applicable consumer law.

UNITED STATES CONSUMERS

Consumers in the United States may have rights and remedies under federal and state consumer protection laws.

Nothing in these Terms is intended to waive or limit any non-waivable warranty, remedy, disclosure requirement or consumer protection available under applicable federal or state law.

Where state law does not permit a limitation or exclusion contained in these Terms, that limitation or exclusion will apply only to the extent legally permitted.

CANADIAN CONSUMERS

Consumers in Canada may have statutory rights and remedies under applicable federal and provincial consumer protection laws.

Nothing in these Terms excludes or limits mandatory rights, warranties, conditions or remedies that cannot lawfully be excluded or restricted.

Where a province or territory provides consumers with additional mandatory rights, those rights will continue to apply.

AUSTRALIAN CONSUMERS

If the Australian Consumer Law applies to your purchase, our goods may come with consumer guarantees and other protections that cannot be excluded under Australian law.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or other applicable law where doing so would be unlawful.

NEW ZEALAND CONSUMERS

If New Zealand consumer protection law applies to your purchase, nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under applicable New Zealand law.

CONSUMERS IN OTHER JURISDICTIONS

Consumers located in other jurisdictions may also benefit from mandatory consumer guarantees, statutory warranties, cancellation rights and other protections.

These Terms will always be interpreted subject to any mandatory rights that apply to your transaction and cannot legally be excluded.

The rights described in this Section are separate from any voluntary return, refund, exchange or commercial warranty policy provided by Goizean.
